Terms of Service

1. Introduction

Welcome to Weave ("we", "us", or "our"). These Terms of Service ("Terms") govern your access to and use of the Weave web application, accessible at weave-app.io (the "Service"), including all features related to client onboarding, meeting management, and CRM automation.

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.

2. Eligibility

You must be at least 18 years of age to use the Service. By using Weave, you represent and warrant that:

  • You are at least 18 years old;
  • You have the legal capacity to enter into a binding agreement;
  • Your use of the Service does not violate any applicable laws or regulations.

3. Account Registration

To access the Service, you must create an account through Clerk, our identity management provider. Clerk supports sign-in via Google, Microsoft, or Apple as identity providers. We do not receive or store your password.

You are responsible for:

  • Maintaining the security of your Google, Microsoft, or Apple account used to sign in;
  • All activity that occurs under your Weave account; and
  • Notifying us immediately at support@weave-app.io if you suspect unauthorised access to your account.

We reserve the right to suspend or terminate your account if we reasonably believe your account has been compromised or is being misused.

4. The Service

4.1 What Weave Provides

Weave is a productivity platform that helps businesses manage client onboarding, meeting scheduling, and CRM-related automations. Core features include:

  • Sending emails to your contacts through your connected Gmail or Outlook account using templates you create within the Service;
  • Sending SMS messages to your contacts on your behalf via Twilio;
  • Importing and displaying meeting and scheduling data from your connected Calendly account;
  • Connecting to HubSpot, Pipedrive, WorkSorted, or AdviserLogic to access contacts, deals, and related CRM data;
  • Creating client onboarding questionnaire forms via your connected Typeform account and processing responses to populate your CRM;
  • Automating client onboarding workflows; and
  • Providing insights and tools to streamline business operations.

4.2 Email Sending

When you connect your Google or Microsoft account, Weave uses thegmail.send or Mail.Send permission respectively to send emails from your account to recipients you specify. You are responsible for ensuring that your use of this feature complies with all applicable laws, including anti-spam legislation, and that you have the appropriate consent from recipients. Weave does not read your inbox or access your contacts or calendar through this integration.

4.3 SMS Sending

Weave may send SMS messages to your contacts on your behalf via Twilio. You are responsible for ensuring you have the appropriate consent from recipients and that your use complies with applicable telecommunications and marketing laws.

4.4 CRM Integrations

You may connect one or more CRM platforms to Weave. The following platforms are supported:

  • HubSpot and Pipedrive — connected via OAuth. Weave reads contacts (including names, email addresses, phone numbers, and dates of birth where available), deals, and pipeline data, and writes notes back to your CRM on your behalf.
  • WorkSorted — connected via OAuth. Weave reads client data and may create new client records and notes in your WorkSorted account as part of workflow automations.
  • AdviserLogic — connected via API credentials (API key and password) that you provide within Weave. Weave reads client data including names, contact details, and dates of birth.

You are responsible for ensuring your use of connected CRM data complies with the terms of your CRM provider and applicable law, including any obligations you have to the individuals whose data is stored in your CRM.

4.5 Client Onboarding Workflows

You may connect your Typeform account to Weave via OAuth to enable client onboarding workflows. By doing so, you authorise Weave to:

  • Create questionnaire forms in your Typeform account on your behalf, based on questions you configure within Weave;
  • Subscribe to Typeform webhooks to receive completed form responses; and
  • Process those responses to create or update client records in your connected CRM.

You are responsible for ensuring that:

  • You have the appropriate authorisation to collect and process personal information submitted by individuals who complete your onboarding forms;
  • Your use of these forms complies with applicable privacy laws and the terms of your CRM provider; and
  • Any individuals completing your forms are informed about how their information will be used.

4.6 Access and Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted or error-free access. We may modify, suspend, or discontinue any part of the Service at any time with reasonable notice where practicable.

4.7 Third-Party Integrations

The Service integrates with third-party platforms including Google, Microsoft, Apple, Calendly, HubSpot, Pipedrive, WorkSorted, AdviserLogic, Typeform, and Twilio. Your use of those integrations is subject to the respective third-party terms and privacy policies. We are not responsible for the availability or conduct of those services.

5. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law or regulation;
  • Upload, transmit, or store any content that is unlawful, harmful, defamatory, or infringing;
  • Send unsolicited bulk emails or messages (spam), or any communication to recipients who have not given their consent to receive it;
  • Send emails that misrepresent the sender, contain deceptive subject lines, or otherwise violate anti-spam laws including the Australian Spam Act 2003, the US CAN-SPAM Act, or similar legislation in your jurisdiction;
  • Attempt to gain unauthorised access to any part of the Service or its infrastructure;
  • Reverse engineer, decompile, or disassemble any part of the Service;
  • Use automated tools (e.g. bots, scrapers) to access the Service in a manner that exceeds normal usage; or
  • Resell, sublicense, or commercially exploit the Service without our express written consent.

We reserve the right to investigate and take appropriate action, including suspension or termination of access, for any violation of these Terms.

6. Intellectual Property

All content, software, designs, trademarks, and materials forming part of the Service are the exclusive property of Weave or its licensors. These Terms do not grant you any ownership rights in the Service.

You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your internal business purposes, subject to these Terms.

You retain ownership of any data, content, or materials you upload or create through the Service ("Your Content"). By using the Service, you grant us a limited licence to access and process Your Content solely to provide the Service to you.

7. Privacy

Your use of the Service is also governed by our Privacy Policy, available at weave-app.io/privacy. By using the Service, you acknowledge and agree to the collection and use of your data as described in that policy.

We take data security seriously and implement reasonable technical and organisational measures to protect your data. Please refer to our Privacy Policy for full details.

8. Payment and Subscriptions

Certain features of the Service may require a paid subscription. Where applicable:

  • Subscription fees are billed in advance on a recurring basis (monthly or annually, as selected);
  • All fees are non-refundable except as required by applicable law or as expressly stated in these Terms;
  • We reserve the right to change pricing with at least 30 days' notice; and
  • Failure to pay may result in suspension or termination of access to paid features.

If you believe you have been charged in error, please contact us at support@weave-app.io within 30 days of the charge.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The Service will be uninterrupted, secure, or error-free;
  • Any results obtained through the Service will be accurate or reliable; or
  • Defects in the Service will be corrected.

To the maximum extent permitted by applicable law, we disclaim all liability for any loss or damage arising from your reliance on the Service.

10. Limitation of Liability

To the fullest extent permitted by law, Weave and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of or in connection with your use of or inability to use the Service.

Our total aggregate liability to you for any claims arising under or related to these Terms shall not exceed the greater of: (a) the total fees paid by you to Weave in the twelve (12) months preceding the event giving rise to the claim, or (b) AUD $100.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such cases, our liability will be limited to the minimum extent permitted by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless Weave and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected to:

  • Your use of the Service in violation of these Terms;
  • Your violation of any applicable law or regulation;
  • Any content you upload, submit, or transmit through the Service; or
  • Your collection or processing of personal information through connected CRM integrations or client onboarding forms.

12. Termination

You may stop using the Service and delete your account at any time by contacting us at support@weave-app.io. Upon account deletion, we will delete or anonymise your personal data within 30 days, as described in our Privacy Policy.

We may suspend or terminate your access to the Service at any time if:

  • You breach these Terms;
  • We are required to do so by law; or
  • We discontinue the Service.

Upon termination, all licences granted to you under these Terms will immediately cease. Provisions that by their nature should survive termination (including Sections 6, 9, 10, and 11) will continue to apply.

13. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the effective date at the top of this document and, where the changes are material, notify you by email or via the Service.

Your continued use of the Service after updated Terms have been posted constitutes your acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Service.

14. Governing Law and Disputes

These Terms are governed by the laws of Australia. You agree to submit to the exclusive jurisdiction of the courts of Australia for the resolution of any disputes arising under or in connection with these Terms.

Where applicable consumer protection laws in your jurisdiction provide you with additional rights, nothing in these Terms is intended to limit those rights.
